Terms of Service

1. Introduction:

This Agreement ("the Agreement") is made as of 6/28/2023, by and between Client, ("Client") and Solariq LLC ("Consultant").

2. Scope of Services:

The Consultant will provide solar business consulting services to the Client as outlined in Exhibit A attached hereto, for a period of six (6) months from the date of this Agreement.

3. Payment:

The Client agrees to pay a one-time fee of $19,995.00, due and payable upon the execution of this Agreement.

4. Confidentiality:

The Consultant agrees to keep all the Client's business information strictly confidential and not to disclose it to any third parties without the prior written consent of the Client.

5. Term and Termination:

The term of this Agreement is for six (6) months, starting on the date of this Agreement. The Agreement can be terminated by either party with thirty (30) days written notice.

6. Limitation of Liability:

In no event shall the Consultant be liable to the Client or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages.

7. Indemnity:

The Client agrees to indemnify, defend and hold harmless the Consultant, its officers, directors, employees, agents, licensors, suppliers and any third party information providers from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement.

8. Governing Law:

This Agreement will be governed by and construed in accordance with the laws of Florida, United States.

9. Entire Agreement:

This Agreement contains the entire agreement between the parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.

10. Amendments:

By signing below, both parties acknowledge that they have read, understood, and agree to the terms and conditions contained within this Agreement.
